Terms of sale

1. General provisions
1.1 These Terms and Conditions of Sale apply to all sales of Irosuki Products made through the website “Irosuki.com”.
1.2 The sale of the Products covered by these Terms and Conditions is reserved exclusively for consumers (“Customers” or “Customer”), who are natural persons not acting in the course of any commercial or professional activity.
1.3 The language in which a sales contract may be concluded through Irosuki.com is French.
1.4 Customers must carefully read these Terms and Conditions, which can be consulted on irosuki.com, so that they may review them, keep a copy, and reproduce them. Sales contracts entered into with Customers will be archived by Irosuki for the retention period required by applicable laws.
2. Product information and availability
2.1 Irosuki.com provides information about the Products, including the relevant Product codes, as well as the applicable prices.
2.2 Irosuki reserves the right, at any time, to limit the quantities and/or types of Products available on Irosuki.com. The styles, models, and colors of the Products described on Irosuki.com may be changed without prior notice. During the purchase process, an automatic response message will inform the Customer if the order cannot be processed due to the unavailability of the Product ordered. Irosuki shall not be liable to the Customer for the unavailability of a Product before the contract has been concluded.
2.3 Under no circumstances shall Irosuki be held liable for errors resulting from a failure in the Customer’s connection to Irosuki.com.
3. Prices
3.1 The prices of the Products shown on the Website are indicated in euros and include all applicable taxes and charges. Delivery costs, where applicable, must be added to the price of the Products and will be indicated separately in the order form, in accordance with the principles set out under applicable laws.
3.2 Irosuki carries out regular checks to ensure the accuracy of the Product prices shown on Irosuki.com. However, Irosuki cannot guarantee that Irosuki.com is free from errors. If an error in the indicated price is detected, Irosuki shall refuse the order and offer the Customer the opportunity to purchase the Product at the correct price. If the error is detected after the order has been accepted, Irosuki will also give the Customer the option to cancel the order.
4. Formation of the contract
4.1 The essential characteristics and price of each Product are displayed on the Website. The information displayed on the Website does not in any way constitute an offer by Irosuki.
4.2 Before placing an order through the Website, the Customer must carefully read all instructions provided during the purchase process, including any information relating to delivery costs, the conditions of the right of withdrawal, and the personal data protection policy, as well as these Terms and Conditions.
4.3 To purchase Products, the Customer must:
(I) add the selected Products to the shopping cart by clicking the corresponding button;
(II) complete the order proposal;
(III) select the payment method;
(IV) accept these Terms and Conditions; and
(V) submit the order proposal to Irosuki through Irosuki.com.
4.4 Submission of the order constitutes an offer to purchase the selected Products, subject to these Terms and Conditions, and is binding on the Customer, without prejudice to the right of withdrawal provided for in Article 9. Submission of the order proposal by the Customer entails an obligation for the Customer to pay the price of the Products ordered.
4.5 Any error or change in the information entered by the Customer in the order proposal may be corrected by the Customer by following the process described on the Website before submitting the order proposal. For example, the Customer may decide to change the quantity of Products they wish to purchase by adding or removing one or more items from their shopping cart.
4.6 The order proposal and the Customer data relating to the order proposal will be kept by Irosuki for the period required under applicable laws, as provided in the Privacy Policy.
4.7 Irosuki may refuse any order proposal within 30 days of receiving it. In such a case, no payment or consideration shall be owed by the Customer to Irosuki. Irosuki may refuse an order proposal in the following cases, including but not limited to:
(I) the Products are not available, subject to the provisions of Article 2.2;
(II) illegal or fraudulent activities are reported or suspected, including where purchases are suspected to have been made for commercial purposes; or
(III) the Customer has failed to fulfil their obligations under a previous contract entered into with Irosuki.
4.8 The contract between Irosuki and the Customer is concluded when the Customer receives Irosuki’s acceptance of the order proposal (“Order Confirmation”). Irosuki’s acceptance or refusal shall be communicated to the Customer by email at the address provided by the Customer in the order proposal.
4.9 If one or more Products are unavailable, the Customer will receive an email duly informing them of the unavailability of the Products. In this case, the order proposal will either be cancelled or partially accepted only for the available Products. In the event of partial acceptance, the Customer shall pay, or be charged if paying by credit card, only for the available Products.
4.10 In accordance with Article L.121-19-1 of the French Consumer Code, as described below, the Order Confirmation will include a summary of the essential characteristics of the Products purchased, a detailed indication of the price and payment methods, information on delivery costs where applicable, Irosuki’s contact details, information on the conditions and procedures for exercising the right of withdrawal, including information on the exclusion of the right of withdrawal for personalized Products, the address to which complaints may be sent, and information on after-sales services and existing commercial terms, where applicable.
4.11 Once the Order Confirmation has been sent to the Customer, the order can no longer be cancelled or modified. However, the Products sent may be returned as indicated in Article 9 below.
4.12 The risks of loss of or damage to the Products are transferred to the Customer when the Customer, or a third party designated by the Customer other than the carrier, has acquired physical possession of the Product.
5. Payment methods
5.1 Payment of the price of the Products included in the order proposal, as well as applicable taxes and delivery costs where applicable, must be made by the Customer by credit card, PayPal, or any other payment method offered by Irosuki.
5.2 Irosuki accepts the following credit cards: Visa, Mastercard, American Express, and Diners.
5.3 Transactions will be charged to the Customer’s credit card only after:
(I) the credit card details have been verified;
(II) authorization to charge the card has been received from the issuer of the card used by the Customer; and
(III) the availability of the Products has been confirmed by Irosuki.
5.4 Subject to the provisions of Article 5.3, no charge will be made at the time the order proposal is submitted, except for any temporary charge required to verify the validity of the credit card, where applicable. It is understood that once the order has been processed, these temporary charges will be cancelled and replaced by the amount payable by the Customer. In addition, if the order is cancelled, these temporary charges will also be definitively cancelled.
5.5 If, for any reason, it is not possible to charge the amount payable by the Customer within the required time limits, the contract will not be performed and the order will be cancelled.
5.6 For each order, Irosuki shall send the Customer an invoice for the Products by email or by post, in accordance with applicable law or regulations. The invoice will be issued based on the information provided by the Customer at the time of the order. No changes may be made to the invoice once it has been issued.
6. Shipping and delivery
6.1 Purchased Products will be delivered on business days by a delivery service chosen by Irosuki, hereinafter referred to as the “Delivery Service”. The Products will be delivered to the address provided by the Customer in the order proposal.
6.2 Except in cases of force majeure or unforeseen circumstances, the purchased Products will be delivered within 5 to 30 days from the date indicated on the Order Confirmation. If delivery has not taken place within the period indicated above, the Customer may cancel the Contract and Irosuki shall, without undue delay, refund all amounts paid under the Contract.
6.3 Upon delivery of the Products by the Delivery Service, the Customer, or their designated representative, must:
(I) check that the number of items delivered corresponds to the number indicated on the delivery note;
(II) check that the packaging and seals are intact, undamaged, and have not been wet or altered in any way;
(III) sign the delivery receipt; and
(IV) present proof of identity if requested by the Delivery Service.
Any damage to the packaging and/or the Product, or any discrepancy between the number of items and the supporting documents, must be immediately indicated in writing on the Delivery Service’s delivery receipt. Subject to any contrary provisions under applicable laws, once the Delivery Service document has been signed and no objection has been raised by the Customer, the Customer may no longer raise objections concerning the external characteristics of the delivered package. However, the Customer retains the right to raise objections at a later stage concerning other characteristics relating to the Products, in accordance with the conditions set out in Article 13 below.
6.4 Delivery costs, where applicable, shall be borne by the Customer and will be indicated separately on the order form and on the invoice.
7. Shipping and delivery confirmation
7.1 Irosuki shall send the Customer a shipping confirmation by email once the Products have been shipped, and another email once the Products have been delivered.
8. Packaging
8.1 Products purchased from Irosuki.com are delivered in Irosuki’s standard packaging.
9. Right of withdrawal
9.1 In accordance with Article L.121-21 of the French Consumer Code, as described below, the Customer has a right to withdraw from the contract, which may be exercised without giving any reason, within 14 fourteen days from the date on which the Customer, or their representative duly authorized to receive the Products, takes physical possession of the Products and, in the case of partial delivery, of the last Product.
9.2 To exercise the right of withdrawal, the Customer must, within the period mentioned in Article 9.1 above, send an email communicating their intention to exercise their right of withdrawal in accordance with Article L.121-21 of the French Consumer Code. This communication must include the following information:
(I) an indication of the Product for which the Customer wishes to exercise the right of withdrawal; and
(II) the order number.

9.3 Within 10 days of communicating the withdrawal, sent in accordance with Article 9.2 above, the Customer must return the purchased Product to Irosuki at the address that will be provided to them. Unless otherwise stated on Irosuki.com, the shipping costs for returning the Products are borne by the Customer. The Products must be returned in their original condition, unaltered, unused, undamaged, and with their original labels attached to the Products. In the event of any decrease in the value of the Products resulting from handling by the Customer beyond what is necessary to establish the nature, characteristics, and functioning of the goods, Irosuki reserves the right to refuse the return of the Products. The Customer is solely responsible for any decrease in the value of the Products resulting from handling of the goods beyond what is necessary to establish their nature, characteristics, and functioning.
9.4 Irosuki shall refund all payments received from the Customer within 30 days after receiving the returned Products, or after the Customer has provided proof that the Products have been sent back, whichever occurs first. The refund will be made by Irosuki using the same payment method as the one used by the Customer for the initial transaction, unless the Customer has expressly agreed to another method and provided that the Customer does not incur any fees in connection with the refund.
10. Lack of conformity
10.1 If a Product sold by Irosuki has manufacturing defects or an alleged lack of conformity, the Customer must immediately contact the online after-sales service by email at contact@irosuki.com.
10.2 The statutory warranties provided for in Articles L211-4 to L211-14 of the French Consumer Code, as described below, apply to the sale of the Products. Under these articles, the Customer has the right to have the Products brought into conformity, free of charge, either by replacement or repair, it being specified that the Customer has the right to choose whether the Product is repaired or replaced, within the limits provided by law. If either of the above remedies is impossible, in accordance with Article L211-10 of the French Consumer Code, the Customer has the right to an appropriate reduction in the sale price of the Products or the right to terminate the contract. The Customer loses these rights if they do not notify Irosuki of the lack of conformity within 14 days from the date on which the Customer detected such lack of conformity.
10.3 If the Customer wishes the Product to be repaired or replaced due to a lack of conformity under Article 10, the delivery costs associated with returning the Product to be repaired or replaced shall be borne by Irosuki, as shall all costs associated with delivering the repaired or replaced Product to the Customer.
11. Applicable law and jurisdiction
11.1 These Terms and Conditions, and therefore the contracts concluded with Customers, are governed by and shall be interpreted in accordance with French law.
11.2 Disputes relating to or arising from these Terms and Conditions fall within the territorial jurisdiction of the competent courts of the Customer’s domicile or place of residence.
12. Changes to the terms and conditions of sale
12.1 Irosuki reserves the right to modify its Terms and Conditions of Sale at any time. Customers will be informed of any changes.
